LEADING NONPROFIT LEARNING TECHNOLOGY COMPANIES MERGE

Isoph and SmarterOrg Join Together to Advance Learning within the Nonprofit Community

Chapel Hill, NC and Washington, DC (October 17, 2002) - Isoph Corporation and SmarterOrg, Inc., the only two companies providing learning and collaboration technologies exclusively for the nonprofit community, have signed a definitive agreement to merge. The combination will bring together both companies' extensive expertise in developing learning applications for growing, sharing, and sustaining organizational knowledge.

Operating under the name Isoph, the combined company will offer nonprofits increased resources, deeper expertise, and a wider variety of cost-effective technology options. Jeff Cobb, Isoph CEO, will continue to lead the combined company, and Celisa Steele will continue as its Chief Creative Officer. Bill Tucker, former SmarterOrg CEO, will join the leadership of Isoph as Chief Knowledge Officer. Isoph is headquartered in Chapel Hill, NC, with offices in Washington, DC, and Los Angeles, CA.
